Preamble

These Terms and Conditions (“Terms”) constitute a legally binding agreement between GridOne EV Infra Private Limited (“GridOne”, “Company”, “we”, “us”, or “our”) and any individual, entity, or organisation (“User”, “you”, or “your”) that accesses or uses GridOne’s EV charging stations, mobile application, website (www.gridoneev.com), or any related services (collectively, the “Services”).

By accessing our website, downloading or using our mobile application, using a GridOne charging station, or engaging with our Services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations of India.

If you do not agree to these Terms, you must immediately cease use of GridOne’s Services and exit this website or application.

1.1 Agreement by Use

Your use of any GridOne Service constitutes unconditional acceptance of these Terms. This acceptance occurs at the earliest of:

  • Accessing or browsing the GridOne website (www.gridoneev.com)
  • Registering an account on the GridOne mobile application
  • Initiating, using, or completing a charging session at any GridOne charging station
  • Engaging with GridOne’s RFID card, QR code, or any app-based authentication method
  • Submitting any partnership, franchise, or host enquiry form on our platform

1.2 Eligibility

  • Age: Be at least 18 years of age. Use by minors is strictly prohibited.
  • Legal Capacity: Be legally competent to enter into a binding contract under the Indian Contract Act, 1872.
  • Registration: Provide accurate, current, and complete information during account registration.
  • Compliance: Agree to comply with all applicable local, state, and national laws of India, including the Electricity Act, 2003, and guidelines issued by the Ministry of Power.

1.3 Updates to Terms

GridOne reserves the right to modify, update, or revise these Terms at any time without prior individual notice. Updated Terms will be posted on our website with a revised effective date. Continued use of our Services after any update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2.1 Core Services

GridOne EV Infra Private Limited is a licensed Charge Point Operator (CPO) providing:

  • EV Charging Infrastructure: Installation, commissioning, operation, and maintenance of AC and DC fast-charging stations at commercial, highway, and public locations across India.
  • DC Fast Charging: High-speed solutions (7 kW to 300 kW) compliant with BIS and BEE guidelines.
  • Corridor-Based Deployments: Strategically located highway charging clusters enabling intercity EV travel.
  • Fleet Charging Solutions: Dedicated charging infrastructure for commercial EV fleet operators.
  • Charging Management System (CMS): Real-time monitoring, remote diagnostics, session billing, and analytics.
  • Partner Programs: Franchise, host-your-charger, and fleet operator partnership models.

2.2 Service Availability

GridOne targets 24×7 operational availability across its charging network. However, uninterrupted service cannot be guaranteed due to factors including but not limited to scheduled maintenance, utility supply interruptions, force majeure events, or technical faults. GridOne is not liable for any loss, inconvenience, or damage arising from planned or unplanned service unavailability.

3.1 Proper Use of Charging Equipment

Users must adhere to the following while using any GridOne charging station:

  • Follow all safety instructions, warning labels, and operating guidelines displayed at the charging station.
  • Ensure your electric vehicle is compatible with the charger type (AC/DC, connector standard) before initiating a session.
  • Use only authorised methods to start and stop charging sessions, including the GridOne mobile app, RFID card, or QR code scan.
  • Do not attempt to repair, tamper with, modify, or physically interfere with any charging equipment.
  • Do not use the charging station in adverse weather conditions that pose a safety risk.
  • Promptly disconnect and vacate the charging bay upon completion of your charging session to avoid idle fees.
  • Report any equipment faults, damage, or safety concerns to GridOne immediately via the app or helpline.

3.2 Vehicle Compatibility

It is the sole responsibility of the User to verify that their electric vehicle and its charging system are compatible with the GridOne charger before initiating a session. GridOne accepts no liability for vehicle damage caused by use of an incompatible charger.

3.3 Account Security

3.4 Vacating Charging Space

Users must promptly disconnect their vehicle and vacate the designated charging bay upon completion. GridOne reserves the right to apply idle or overstay fees if a vehicle occupies a bay beyond the grace period after charging has completed, as per the applicable rate schedule displayed at the station or within the app.

3.5 Prohibited Conduct

The following actions are strictly prohibited and may result in immediate account suspension or termination:

  • Misuse: Using GridOne equipment for any purpose other than charging a compatible EV.
  • Damage: Deliberately or negligently causing damage to charging equipment.
  • Fraud: Attempting to circumvent payment obligations or manipulate session billing.
  • Impersonation: Accessing GridOne services using another person’s credentials.
  • Illegal Activity: Using GridOne Services in violation of any applicable Indian law or regulation.

4.1 Charging Fees

Charging fees are calculated based on the applicable tariff in force at the time of the session. The total fee charged by GridOne to Users comprises the following components, in accordance with Ministry of Power Guidelines for EV Charging Infrastructure (2024):

  • Electricity Supply Tariff: As applicable per the respective State Electricity Regulatory Commission (SERC) rate and time-of-use period (solar/non-solar hours).
  • Service Charge: As per the applicable ceiling fixed by the State Government and within Ministry of Power limits (AC slow: up to Rs. 4/kWh; DC fast: up to Rs. 13/kWh during non-solar hours).
  • Idle/Overstay Fee: Applicable as displayed at the station or in-app upon exceeding the grace period post-charging.

4.2 Payment Methods

4.3 Pre-Authorisation

For credit/debit card payments, GridOne may place a pre-authorisation hold prior to session initiation. The hold is adjusted to the actual session cost upon completion. In the event of a technical failure, the hold will be released within 5–7 business days.

Refunds may be processed in the following circumstances:

4.5 Disputed Transactions

Users may raise a billing dispute by contacting GridOne at enquiry@gridoneev.com or through the in-app support feature within 6 months of the transaction date…

5.1 Service Availability & Uptime

GridOne shall not be liable for any direct, indirect, incidental, or consequential losses arising from temporary unavailability due to maintenance, utility failures, grid disruptions, force majeure events, or any cause beyond GridOne’s reasonable control.

5.2 Charging Speed

Charging speeds and durations are estimates and may vary based on the User’s vehicle battery management system (BMS), state of charge, ambient temperature, available grid power, and infrastructure load at the time of the session. GridOne does not guarantee any specific charging speed and shall not be held liable for delays in charging.

5.3 Vehicle Damage

GridOne shall not be liable for any damage to a User’s vehicle arising from the use of GridOne’s charging equipment, including but not limited to damage due to vehicle-charger incompatibility, electrical surges originating from the vehicle’s own charging system, or pre-existing vehicle defects. Users acknowledge that they use GridOne’s charging stations at their own risk.

5.4 Infrastructure Damage by User

Users shall be fully liable for damage caused to GridOne’s charging equipment or property due to misuse, negligence, or wilful misconduct. GridOne reserves the right to recover repair or replacement costs from the User.

5.5 Maximum Liability Cap

To the maximum extent permitted under applicable Indian law, GridOne’s total aggregate liability to any User shall not exceed the total amount paid by that User to GridOne in the 3 months immediately preceding the date of the claim.

5.6 Exclusion of Consequential Loss

GridOne shall not be liable for any loss of profits, data, revenue, business opportunity, or any other indirect, special, punitive, or consequential damages, even if advised of the possibility of such damages.

6.1 Data Collection

In providing the Services, GridOne may collect and process the following categories of personal data:

  • Identity data: full name, date of birth, government-issued identification
  • Contact data: mobile number, email address
  • Vehicle data: vehicle registration, make, model, battery type
  • Transaction data: charging session history, payment records, billing details
  • Location data: GPS location for charger discovery and session logging
  • Device data: mobile device type, operating system, app usage data

6.2 Legal Basis & Purpose

GridOne processes User data for the purposes of account management, session billing, customer support, fraud prevention, regulatory compliance, and service improvement. Data processing is conducted in accordance with applicable Indian data protection laws, including the Information Technology Act, 2000, the IT (Amendment) Act, 2008, and the Digital Personal Data Protection Act, 2023 (DPDPA) as and when applicable.

6.3 Data Sharing

GridOne may share User data with

  • Payment processors and financial institutions for transaction processing
  • Regulatory authorities as required by law
  • Third-party service providers under contractual data protection obligations
  • Law enforcement agencies upon lawful request

GridOne does not sell User personal data to third parties for marketing purposes.

6.4 Data Retention

GridOne retains User data for as long as necessary to fulfil the purposes described in these Terms, or as required by applicable law. Transaction records are retained for a minimum of 5 years for accounting and regulatory compliance purposes.

6.5 Your Rights

Subject to applicable law, Users have the right to:

7.1 Grounds for Suspension

GridOne may suspend or restrict a User’s account with immediate effect and without prior notice upon any of the following:

  • Breach of any provision of these Terms
  • Suspected or confirmed fraudulent, abusive, or illegal activity
  • Non-payment of outstanding fees
  • Provision of false or misleading registration information
  • Actions that harm other Users, GridOne’s infrastructure, or third parties

7.2 Termination

GridOne reserves the right to terminate a User’s account permanently for repeated or serious violations of these Terms. In such cases, GridOne will provide the User with written notice via registered email, except where immediate termination is required to prevent harm or fraud.Users may also terminate their account at any time by contacting GridOne at enquiry@gridoneev.com, subject to settlement of any outstanding dues. Upon termination, access to all Services will cease immediately.

7.3 Effect of Termination

  • All pending dues must be settled immediately
  • Prepaid wallet balance refunded within 15 business days after applicable deductions
  • GridOne may retain data as required by law
  • Active partner agreements governed by the applicable separate agreement

8.1 Franchise Partners

Individuals or entities entering GridOne’s Franchise Program are subject to a separate Franchise Agreement governing territory rights, investment obligations, branding standards, operational requirements, and revenue sharing. In the event of any conflict, the Franchise Agreement shall prevail.

8.2 Host Your Charger

Property owners or managers hosting GridOne charging equipment are bound by a separate Host Agreement. GridOne retains full operational control of all hosted charging equipment and is responsible for monitoring, billing, and maintenance. The Host shall ensure that the installation site complies with all applicable electrical safety and zoning requirements.

8.3 Fleet Operators

Fleet operators using GridOne’s dedicated fleet charging solutions are governed by a separate Fleet Services Agreement, which outlines volume commitments, tariff structures, invoicing cycles, and SLA provisions. These Terms apply to fleet operators to the extent not specifically addressed in the Fleet Services Agreement.

All content, trademarks, service marks, logos, software, mobile applications, and proprietary technology associated with GridOne’s Services are the exclusive intellectual property of GridOne EV Infra Private Limited, protected under the Trade Marks Act, 1999, the Copyright Act, 1957, and all applicable Indian and international IP laws.

Prohibited Actions

  • Reproducing, modifying, or distributing GridOne’s proprietary content without written permission
  • Reverse engineering, decompiling, or disassembling any GridOne software or CMS system
  • Using GridOne’s name, logo, or branding for any commercial purpose without authorisation

10.1 Ministry of Power Guidelines

GridOne operates in full compliance with the Guidelines for Installation and Operation of EV Charging Infrastructure, 2024, issued by the Ministry of Power, Government of India, including all revisions by the Bureau of Energy Efficiency (BEE) and Central Electricity Authority (CEA).

10.2 BIS & Safety Standards

All GridOne charging stations comply with applicable BIS certifications (IS:17017 and related standards), electrical safety regulations under the Electricity Act, 2003, and CEA safety installation standards.

10.3 Consumer Protection

GridOne is committed to the Consumer Protection Act, 2019. Raise complaints via enquiry@gridoneev.com — acknowledgment within 48 working hours; resolution within 30 working days. Unresolved disputes may be escalated to the appropriate Consumer Disputes Redressal Commission.

GridOne shall not be held liable for any failure or delay in the performance of its obligations under these Terms arising from circumstances beyond its reasonable control, including natural disasters, floods, earthquakes, acts of God, war, civil unrest, government actions or orders, power grid failures, cyberattacks, or any other extraordinary event (“Force Majeure Event”). GridOne will make reasonable efforts to resume Services as soon as possible following a Force Majeure Event.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and all applicable regulations thereunder.

12.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hubballi, Karnataka, India.

12.3 Dispute Resolution Process

In the event of a dispute:

If informal resolution fails, both parties may agree to mediation before a mutually acceptable mediator in Hubballi.

Legal Proceedings
Unresolved disputes may be referred to courts of competent jurisdiction in Hubballi, Karnataka.

13.1 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

13.2 No Waiver

GridOne’s failure to enforce any right or provision of these Terms at any time shall not constitute a waiver of such right or provision unless expressly acknowledged in writing by GridOne.

13.3 Entire Agreement

These Terms, together with GridOne’s Privacy Policy and any applicable Partner Agreements, constitute the entire agreement between GridOne and the User and supersede all prior communications, representations, or agreements.

13.4 Assignment

Users may not assign or transfer any rights or obligations under these Terms without prior written consent from GridOne. GridOne may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
